Kozzi Ambassador Program Terms and Conditions
These Terms and Conditions were last updated on and are effective as of January 1, 2026.
A. Overview
You agree that you shall not orally or in writing criticize, disparage, make any negative statements, or otherwise undermine the reputation of Kozzi, or comment in any negative way upon the business operations, products, services, employees, practices, procedures, or policies of Kozzi.
B. Your Ambassador Link and Commission
You will be provided with a unique affiliate link (“Ambassador Link”) to share with your audience. Approved commissions will be paid out as outlined in your onboarding documentation or portal. Kozzi reserves the right to change commission rates at any time. Abuse, self-referrals, or manipulation of affiliate tracking will result in disqualification and forfeiture of commission.
C. Permitted Uses of Your Ambassador Link
You may share your Ambassador Link through your owned digital platforms such as Instagram, TikTok, YouTube, personal blogs, or newsletters. You may also respond to direct questions from your audience using your link, as long as it’s done honestly and transparently.
D. Prohibited Uses of Your Ambassador Link
You may not use paid advertising to promote your link, such as Google Ads or Facebook Ads, without written permission from Kozzi. You are not allowed to promote your link through coupon or deal aggregation sites, nor are you permitted to post it in comment sections or spam communities. You may not misrepresent Kozzi’s products, prices, availability, or policies. You may not use your link in connection with any unethical, illegal, or misleading claims. Violation of these terms may result in immediate removal from the program and forfeiture of unpaid commissions.
E. Representations and Warranties
You represent and warrant that you are at least eighteen (18) years of age. You have the legal authority to enter into this agreement and fulfill your obligations. You will not violate any applicable laws, regulations, or third-party agreements in connection with your participation. You will not infringe on the intellectual property, proprietary, privacy, or publicity rights of any party. You will not engage in any abusive, harassing, defamatory, profane, hateful, racist, or otherwise objectionable conduct while representing Kozzi.
F. Term
This agreement begins when you are accepted into the program and continues until terminated by either party. Kozzi reserves the right to remove you from the program at any time, with or without cause, by providing notice. Upon termination, unpaid commissions may be withheld if a breach of terms has occurred.
G. Protection of Confidential and Proprietary Information
You agree not to use, share, or reproduce any confidential or proprietary information received during your participation in the program for any purpose outside of your Kozzi-related activities.
H. Indemnification
You agree to indemnify, defend, and hold harmless Kozzi, its parent company, affiliates, employees, agents, and representatives from any claims, damages, losses, or legal expenses arising from your breach of these terms or your negligence or misconduct in the program. You may not settle any such claim without Kozzi’s prior written approval unless the settlement fully releases Kozzi of liability. Kozzi reserves the right to assume and control the defense of any indemnified matter at your expense.
I. No Publicity
Unless explicitly approved in writing by Kozzi, you may not issue press releases or public statements announcing your participation in the ambassador program, or imply that you represent or are formally partnered with Kozzi in any public-facing manner.
J. Non-Disparagement
You agree not to publish or communicate any negative, misleading, or damaging statements—public or private—about Kozzi, its products, employees, or brand. This includes social media, online forums, direct messages, or any other medium.
K. Miscellaneous
Arbitration
Any controversy or claim arising from these terms will be resolved by binding arbitration in Victoria, Australia, under the rules of the Australian Centre for International Commercial Arbitration (ACICA). Each party is responsible for their own legal fees unless decided otherwise by the arbitrator.
Governing Law and Venue
These terms and all disputes will be governed by the laws of the State of Victoria, Australia. Any legal action must be brought in the courts of Victoria. By joining the program, you consent to this jurisdiction.
Severability
If any provision is deemed unenforceable, it will be replaced with one that most closely matches the original intent. The rest of the agreement remains fully enforceable.
No Waiver
If Kozzi fails to enforce any part of these terms at any time, it does not waive the right to enforce that or any other provision in the future.
Entire Agreement
These terms represent the full agreement between you and Kozzi regarding the ambassador program and override any prior communications or understandings.
